1. Agreement and Acceptance

These Terms of Service ("Terms") govern your access to and use of the Animalis aRK commercial products and services ("Services") provided by Haycar Global Pty Ltd (ABN pending) trading as Animalis aRK Commercial ("Animalis aRK", "we", "us") via animalisark.io and https://haycar.online/commerce/.

By placing an order, accessing the platform, activating a device, or using any Service, you ("Customer", "you") agree to be bound by these Terms and our Privacy Policy. If you are acting on behalf of a company or organisation, you represent that you have the authority to bind that entity.

If you do not agree to these Terms, do not use our Services or products.

2. Definitions

3. SaaS Platform Subscriptions

3.1 Licence. Subject to payment of applicable fees and compliance with these Terms, we grant you a non-exclusive, non-transferable licence to access and use the subscribed platform modules during the Subscription Period.

3.2 Billing. Subscription fees are billed in advance on a monthly or annual basis as selected. All prices are in Australian Dollars (AUD) and are inclusive of GST where applicable. We issue invoices prior to each billing period.

3.3 Auto-renewal. Subscriptions renew automatically at the end of each Subscription Period unless cancelled in writing at least 5 business days before the renewal date.

3.4 Price changes. We reserve the right to change subscription pricing. We will provide at least 30 days' written notice before any price increase takes effect. You may cancel your subscription within that notice period without penalty.

3.5 Suspension. We may suspend your access for non-payment after 14 days' written notice. Data is retained for 30 days post-suspension before deletion.

3.6 Uptime. We target 99.9% monthly uptime for platform services. Scheduled maintenance windows are notified at least 48 hours in advance. No SLA credits apply to free-tier access.

3.7 Data ownership. You retain ownership of your data submitted to the platform. We process it solely to deliver the Services. On termination, you may export your data in CSV or JSON format within 30 days.

4. Hardware Products - Animalis-IC and SharkFree

4.1 Orders. Hardware orders are confirmed by us in writing within 24 hours of receipt. We reserve the right to decline any order at our discretion without liability.

4.2 Delivery. Estimated lead times will be provided at time of order confirmation. We are not liable for delays caused by shipping carriers, customs authorities, or circumstances beyond our control.

4.3 Professional installation. Animalis-IC devices must only be implanted by a registered, licensed veterinary practitioner. Implantation by unqualified persons is a breach of these Terms and may void the warranty. We are not liable for any adverse outcomes resulting from improper implantation.

4.4 APVMA. Animalis-IC devices are subject to Australian Pesticides and Veterinary Medicines Authority (APVMA) regulatory requirements. Customers are responsible for ensuring compliance with all applicable veterinary device regulations in their jurisdiction.

4.5 Risk. Risk of loss or damage transfers to the Customer upon delivery to the nominated carrier.

5. Hardware Warranty

Warranty Period: 5 years from the date of manufacture (date code printed on device packaging).

5.1 Coverage. We warrant that Animalis-IC and SharkFree hardware products are free from defects in materials and workmanship under normal use for a period of 5 years from the date of manufacture. This warranty is in addition to, and does not exclude, any rights you may have under the Australian Consumer Law (Schedule 2, Competition and Consumer Act 2010 (Cth)).

5.2 Exclusions. The warranty does not cover:

5.3 Claims. To make a warranty claim, contact [email protected] with proof of purchase and a description of the defect. We will assess and respond within 10 business days. Approved warranty claims will be fulfilled by repair or replacement at our discretion.

5.4 Consumer law. Our goods come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. These Terms do not limit those rights.

6. Refund and Return Policy

No Refunds on Activated Chips: Once an Animalis-IC chip has been activated (DID registered on Cardano) or implanted, it cannot be returned and is not eligible for a refund under any circumstances, regardless of the reason.

6.1 Hardware (unactivated). Unactivated hardware in original, unopened packaging may be returned within 14 days of delivery for a full refund less shipping costs. Proof of purchase is required.

6.2 Hardware (activated/implanted). Once an Animalis-IC chip DID has been registered on Cardano, or the chip has been implanted into any animal, no refund will be issued. This is a firm no-exceptions policy due to the nature of the unique blockchain identity and for hygiene and safety reasons.

6.3 SaaS subscriptions. Monthly subscriptions may be cancelled at any time; the subscription will remain active until the end of the current billing period and no further charges will be made. No pro-rata refunds are issued for the current period. Annual subscriptions may be cancelled within 14 days of the first payment for a full refund; after 14 days no refund applies.

6.4 SharkFree Buoys. Deployed marine buoys are not eligible for return. Undeployed buoys in original packaging are subject to the 14-day return window in clause 6.1.

6.5 Australian Consumer Law. Nothing in this policy limits your rights under the Australian Consumer Law for major failures.

7. TWIN NFT Ownership Rights

7.1 Issuance. Upon activation of an Animalis-IC device and registration on Cardano, a TWIN NFT representing the animal's verified digital identity may be issued to the registered owner's Cardano wallet.

7.2 Ownership. The TWIN NFT is owned by the wallet holder to whom it is issued. Animalis aRK does not retain ownership of or control over NFTs once issued.

7.3 Rights granted. The TWIN NFT represents the animal's sovereign digital identity. The NFT holder has the right to:

7.5 Immutability. On-chain records associated with the TWIN NFT are permanent and cannot be deleted. See our Privacy Policy Section 7 for important information about on-chain data.

7.6 Lost wallets. We have no ability to recover NFTs from lost or compromised wallets. Customers are solely responsible for the security of their Cardano wallet credentials.

8. DePIN Node Operator Terms

8.1 Eligibility. Node Operators must subscribe to an active DePIN Node Subscription and agree to these Terms. Commercial operators must be registered businesses in their jurisdiction.

8.2 Node obligations. Node Operators agree to:

8.3 AARK rewards. AARK token rewards are distributed to Node Operators pro-rata based on verified uptime, data quality score, and coverage area. Reward rates are set by the Animalis DAO governance process and may change by governance vote. We make no guarantee of minimum reward rates.

8.4 Slashing. Submission of false or fabricated sensor data will result in slashing of staked AARK (where applicable) and permanent ban from the DePIN network.

8.5 Node data. Environmental and biodiversity telemetry data collected by your node is owned collectively by the Animalis aRK Foundation and licensed to the platform. Node Operators receive a non-exclusive, revocable data licence for their own zone's data as part of their subscription.

8.6 Tax. Node Operators are solely responsible for any tax obligations arising from AARK token rewards in their jurisdiction. We do not provide tax advice.

9. API and Data Licence Terms

9.1 Licence. Data licence customers receive a non-exclusive, non-sublicensable, non-transferable licence to access anonymised biodiversity and wildlife health data via the Animalis aRK API for the purposes and volume specified in their subscription.

9.2 Restrictions. You may not: re-sell or redistribute raw data; attempt to de-anonymise individual animal or person records; exceed your contracted API call volume; scrape or bulk-download data beyond your licence scope; use data to train competing machine learning models without written consent.

9.3 Attribution. Academic publications using Animalis aRK data must cite the platform as a data source. Commercial publications require written consent.

9.4 Rate limits. API rate limits apply per subscription tier. Exceeding limits may result in temporary throttling or additional charges.

10. Intellectual Property

All intellectual property in the Animalis aRK platform, Animalis-IC firmware, SharkFree hardware designs, AARK token smart contracts, API specifications, databases, and documentation is owned by Haycar Global Pty Ltd or its licensors and is protected by Australian and international intellectual property laws.

No licence to our IP is granted beyond what is expressly stated in these Terms. You may not copy, reverse-engineer, decompile, or create derivative works from our hardware, firmware, or software.

Customer data submitted to the platform remains your intellectual property. You grant us a licence to process it to deliver the Services.

11. Acceptable Use

You must not use our Services to:

12. Limitation of Liability

To the maximum extent permitted by Australian Consumer Law and other applicable law:

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Haycar Global Pty Ltd, its directors, employees, and agents from and against any claims, losses, damages, costs, and expenses (including reasonable legal fees) arising from:

14.1 By you. You may terminate a subscription at any time by providing written notice. Termination takes effect at the end of the current Subscription Period.

14.2 By us. We may terminate or suspend your account immediately upon written notice if you materially breach these Terms and fail to remedy the breach within 14 days of notice, or immediately for serious breaches (fraud, data fabrication, harm to animals).

14.3 On termination. Upon termination: your platform access ceases; you have 30 days to export your data; any TWIN NFTs in your wallet remain yours; on-chain records are permanent. Hardware warranty obligations survive termination.

15. Governing Law and Dispute Resolution

Governing Law: These Terms are governed by the laws of Queensland, Australia.

15.1 Governing law. These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the laws of the State of Queensland, Australia, without regard to conflict of law principles.

15.2 Dispute resolution. Before commencing formal proceedings, parties agree to attempt to resolve any dispute by good faith negotiation for at least 30 days.

15.3 QCAT. For consumer disputes within the jurisdiction limits, either party may refer the dispute to the Queensland Civil and Administrative Tribunal (QCAT) at qcat.qld.gov.au.

15.4 Courts. For disputes exceeding QCAT jurisdiction limits, the parties submit to the non-exclusive jurisdiction of the courts of Queensland, Australia.

15.5 International customers. Customers outside Australia may also have rights under their local consumer protection laws that cannot be excluded by these Terms.

16. Amendments

We may amend these Terms at any time. For material changes affecting existing Customers, we will provide at least 30 days' written notice. Your continued use of the Services after the notice period constitutes acceptance of the revised Terms. If you do not accept the changes, you may terminate your subscription before the effective date.
